Secretarial ComplianceThe BSE Limited, on August 7, 2026, issued a circular advising all listed entities to adopt suggested best practices for maintaining a Structured Digital Database (SDD) under the SEBI (Prohibition of Insider Trading) Regulations, 2015 (PIT Regulations). The guidance aims to strengthen compliance with the regulatory framework governing the handling of Unpublished Price Sensitive Information (UPSI) and reflects observations from recent cases.

The circular emphasizes that listed companies should maintain a structured digital database capturing the nature of UPSI and details of all persons sharing or receiving such information, including individuals within intermediaries and fiduciaries handling the UPSI. It also recommends periodic review of internal policies to prevent leakage of UPSI, regular training and awareness programmes for employees and fiduciaries, and effective implementation of the company's Code of Conduct under the PIT Regulations.

Listed entities are further advised to adopt any additional measures necessary to ensure robust handling of UPSI and achieve the objectives of the PIT Regulations through enhanced governance and compliance practices.
